we understand the consideration offered by Minzog Limited was: a) to each shareholder of United Resources who, on 17/06/93 was recorded in the register of members of United Resources as having an address in New Zealand; the issue to the shareholder of 1.17 New Zealand Oil & Gas shares and 0.54 Mineral Resources (NZ) shares for each United Resources Share held by that person provided that in respect of each such person who is also a Non-Marketable Holder, such person may elect to receive, in lieu of such New Zealand Oil & Gas shares and Mineral Resources shares, the sum of $1.60 for each United Resources share held by that person; b) to each shareholder of United Resources who, on 17/06/93 was recorded in the register of members of United Resources as having an address outside on New Zealand; the sum of $1.60 for each United Resources share held by that person	24/12/1993
